In February 2025, a UK-based company ("Client") sought to engage Chinese suppliers for sample-based mass production, requiring affixation of designated trademarks and barcodes.
To enhance transaction efficiency while mitigating legal risks, the Client retained the legal team of Larry Zhou at Landing (Shenzhen) Law Office to prepare an OEM (Original Equipment Manufacturer) framework agreement, with the matter specifically handled by lawyer Bryan Zhang.

Adopting a professional and rigorous approach, lawyer Bryan maintained continuous communications with the Client to thoroughly understand the transaction background and precisely identify their needs. The agreement not only mandated that suppliers manufacture and deliver products in strict compliance with the agreed standards but also placed particular emphasis on preventing supplier plagiarism or misuse of the Client's designs and products, thereby eliminating the risk of counterfeit production.
Based on these considerations, our legal team drafted a bilingual agreement, with key provisions covering product quality standards and inspection, delivery and acceptance, pricing and payment, intellectual property ownership, confidentiality clauses, and non-compete obligations—ensuring comprehensive protection of the Client's interests.
After multiple rounds of revisions, the agreement was finalized. Throughout the process, our legal team consistently highlighted potential transaction risks to the Client.
The Client spoke highly of the professional services provided by Larry's legal team, particularly commending the expertise in contract drafting, as well as the efficient communication, meticulous service, and robust execution capabilities demonstrated.
