A Kenyan enterprise engaged in preliminary talks with various Chinese suppliers prioritized the protection of their proprietary business information. To prevent unauthorized disclosure or misuse before formal cooperation, the Kenyan company sought a legally binding confidentiality agreement with these Chinese suppliers, incorporating strict non-disclosure and non-compete clauses.

The Kenyan client retained Larry Zhou’s team at Landing (Shenzhen) Law Office, with Attorney Laney Liu leading the project. Tailoring the agreement to cross-border transaction realities, our lawyers drafted enforceable clauses covering:
Supplier confidentiality obligations;
Prohibition on using client information to develop competing products;
Non-compete restrictions.
Throughout the drafting phase, our lawyers maintained close communications with the client, refining terms based on feedback.
Upon finalization, our lawyers also provided detailed signing guidance to safeguard against potential fraudulent or defective execution tactics by suppliers.
Additionally, at the client’s request, our lawyers conducted due diligence on the designated Chinese supplier, identifying and mitigating key risks to ensure secure collaboration.
