Attorney Larry Secured an Appellate Victory in a Foreign-Related Contract Dispute

Recently, Attorney Larry Zhou of Landing (Shenzhen) Law Office secured a successful second-instance outcome in a cross-border financial contract dispute. After obtaining comprehensive support for the client’s claims at first instance, the opposing party filed an appeal. Upon review, the Guangzhou Intermediate People’s Court dismissed all of the appellant’s claims and upheld the original judgment.


In this case, the court of first instance had already determined that the amount in dispute constituted liquidation compensation agreed by the parties in relation to their prior cooperation, exit arrangements, and related interests, and that the opposing party’s payment obligation was a definite debt. Dissatisfied with the first-instance judgment, the opposing party raised multiple grounds of appeal, including alleged errors in the characterization of the contract and the argument that the payment conditions had not been satisfied, while also attempting to overturn the first-instance findings by introducing new factual assertions.


At the second-instance stage, Attorney Larry Zhou systematically responded to the opposing party’s appellate arguments by focusing on the core logic of the first-instance judgment. On the one hand, by referring to contemporaneous communication records, the relevant contractual arrangements, and publicly available corporate registration information, he further reconstructed the parties’ prior cooperative relationship, the background of their business separation, and the formation of the amount in dispute, thereby demonstrating that the payment clearly bore the nature of historical liquidation and compensation rather than consideration contingent on the completion of future services. On the other hand, by comprehensively applying the rules of contractual interpretation, he established that the opposing party’s new arguments could not stand as a matter of legal logic. In addition, our counsel further organized and presented the core commercial value that the client had created for the opposing party during the course of their cooperation, thereby reinforcing the reasonable consideration basis of the amount claimed.


It is particularly noteworthy that, because our counsel had already conducted thorough evidentiary preparation and systematic legal argument at the first-instance stage with respect to the core issues of fact, contractual nature, and payment conditions, the opposing party’s continued reliance on multiple appellate arguments and adjustments to its litigation strategy in the second instance still failed to undermine the factual foundation and legal reasoning of the first-instance judgment.


Less than one week after the second-instance hearing, the Guangzhou Intermediate People’s Court rendered its final judgment dismissing the entire appeal and upholding the original judgment. From the first-instance victory to the affirmance on appeal, our counsel responded in a targeted manner to the various strategies adopted by the opposing party throughout the proceedings, including counterclaims, property preservation applications, and the appeal itself, and ultimately secured a complete victory.
