Attorneys Bryan & Laney Advise U.S. Client on OEM Deal with Zhongshan Supplier

In April 2025, a U.S. company (“the Client”) sought to engage a factory in Zhongshan to manufacture smart toilet seat products. The Client required mass production based on provided samples, with affixed designated trademarks and barcodes.

To expedite the transaction while mitigating legal risks, the Client engaged the legal team of Attorney Larry Zhou from LANDING (SHENZHEN) LAW OFFICE to provide end-to-end legal support for their OEM project with the Zhongshan factory.

Attorney Bryan Zhang and Intern Lawyer Laney Liu adopted a rigorous and professional approach, sending the Client a detailed questionnaire to thoroughly understand the transaction background and precisely identify their needs. 

Beyond ensuring that the factory manufactured and delivered products in compliance with the Client’s specifications, the top priority was to strictly prevent the factory from plagiarizing or misusing the Client’s designs and products, thereby avoiding unauthorized replication.

Based on this, our legal team drafted a bilingual contract, focusing on key provisions such as product quality standards and inspection, product delivery and acceptance, pricing and payment terms, intellectual property ownership, confidentiality clauses, and non-compete obligations. This comprehensive legal framework provided robust protection for the Client’s rights and laid a solid foundation for long-term cooperation between the Client and the Zhongshan factory.

After several rounds of revisions, the parties successfully executed the agreement.
