Winning Cross-border Financial Disputes Strategies from Attorneys Larry and Laney

In commercial cooperation, "back-to-back" payment clauses often lead to performance deadlocks, putting the realization of creditor's rights into a state of uncertainty or even permanent delay. Recently, Attorney Larry and Attorney Laney secured a complete victory for their client in a contract dispute with a cross-border financial enterprise. The court upheld all of our client’s claims and dismissed all counterclaims brought by the opposing party.

This case originated from the cooperation between the two parties starting in 2021, during which the client, as a "nominal partner," fully participated in the company's affairs without receiving any compensation. In 2023, due to differences in philosophy, the client proposed to terminate the cooperation, and the other party provided corresponding compensation. Although the client consciously signed a contract with the other party, the contract ultimately signed by both parties, in terms of text, deviated significantly from the previously reached agreement on withdrawal and settlement, putting the client's legitimate rights and interests at risk of being nullified.

Faced with contractual language that appeared unfavorable, our attorneys devoted substantial time and effort to comprehensively sorting through years of fragmented communications between the parties. At the same time, by visually reconstructing the course of cooperation and the special background against which the contract was signed, our attorneys successfully persuaded the judge that the payment stipulated in the contract was, in substance, closer to a settlement, compensation, and final resolution of the parties’ prior cooperative relationship, rather than merely consideration for future services. This factual framework laid the critical foundation for the eventual victory.

By reconstructing the truth from fragmented evidence and finding room for breakthrough amid unfavorable contractual terms, Attorney Larry Zhou’s team successfully helped the client defuse significant legal risks through deep insight into the nature of commercial contracts and systematic organization of complex evidence. This case not only demonstrates our attorneys’ professional strength in resolving cross-border civil and commercial disputes, but also once again highlights our ability to turn a passive position into a proactive one in complex cases.
